📌 1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of OmniQra ("we", "us", "our"), an AI-powered multi-model question-answering platform. By creating an account, accessing the website, or using any feature, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree, you must stop using OmniQra immediately.

👤 2. Eligibility & Account

• You must be at least 13 years old to use OmniQra (16+ in some jurisdictions).
• You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• One person or legal entity may not maintain multiple free accounts to abuse the free tier.

💎 3. Credits, Plans & Billing

OmniQra operates on a credit-based system. Each question consumes 1 credit, regardless of the number of underlying model calls made to generate your answer.

• Free Tier: 3 credits per day, reset every 24 hours. Not stackable.
• Paid Plans & Top-ups: Credits purchased via omniqra.com/add-credits or subscription plans at omniqra.com/plans/.
• Validity: Purchased credits are valid as stated at checkout. Subscription credits reset at each billing cycle and do not roll over unless explicitly stated.
• Pricing Changes: We reserve the right to modify pricing with at least 14 days' notice via email or in-product banner.
• Taxes: Prices are exclusive of applicable taxes (VAT, GST, etc.) unless otherwise stated.

💸 4. Refund Policy

• Unused credits: Refund requests on completely unused credit packs may be considered within 7 days of purchase at our sole discretion.
• Subscriptions: You may cancel anytime; cancellation stops future renewals. The current paid period remains active until its end date — no pro-rated refunds.
• Service outages: In the event of a sustained platform outage caused by us, we may credit your account at our discretion.
• Chargebacks: Initiating a chargeback without first contacting support may result in immediate account suspension.

✅ 5. Acceptable Use

You agree NOT to use OmniQra to:

• Generate, distribute, or solicit illegal content (CSAM, terrorism, weapons of mass destruction, etc.).
• Harass, threaten, defame, or impersonate any person or entity.
• Generate malware, phishing kits, or content designed to defraud users.
• Attempt to reverse-engineer, scrape, or resell the platform or its model outputs at scale without permission.
• Bypass rate limits, free-tier restrictions, or authentication mechanisms.
• Use OmniQra to provide automated medical, legal, or financial advice presented as professional counsel.
• Violate any applicable law or third-party rights (including intellectual property).

We reserve the right to suspend or terminate accounts that violate these rules, without refund.

🤖 6. AI-Generated Content Disclaimer

• You are responsible for verifying and using AI-generated content appropriately.
• We make no warranty as to accuracy, completeness, or fitness for any particular purpose.
• Output may vary between identical prompts due to the probabilistic nature of AI models.

©️ 7. Intellectual Property

• Your Content: You retain ownership of the prompts and inputs you submit. You grant us a worldwide, royalty-free license to process them solely for the purpose of providing the service.
• AI Outputs: Subject to the underlying model providers' terms, you may use the outputs for personal or commercial purposes. You are responsible for ensuring such use complies with applicable laws.
• OmniQra IP: The OmniQra platform, brand, logo, design, and code are our exclusive property. You may not copy, modify, or redistribute them without written permission.

🔗 8. Third-Party Services

OmniQra integrates with third-party AI providers (OpenAI, Google, Anthropic, etc.) and infrastructure services. Your use of OmniQra is also subject to those providers' terms where applicable. We are not responsible for the availability, accuracy, or actions of third-party services.

🚫 9. Suspension & Termination

• You may close your account anytime from your dashboard.
• We may suspend or terminate your account immediately, without notice, if you violate these Terms, abuse the service, or pose a security risk.
• Upon termination, your right to use the service ceases. Unused credits are forfeited where termination is due to a violation.
• Sections that by their nature should survive (IP, disclaimers, limitations of liability, governing law) will survive termination.

⚠️ 10. Disclaimers

OmniQra is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not guarantee uninterrupted, error-free, or secure operation. Scheduled maintenance and unexpected downtime may occur.

🛡️ 11. Limitation of Liability

To the maximum extent permitted by law, OmniQra and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from your use of the service.

Our total aggregate liability for any claim shall not exceed the greater of (a) the amount you paid us in the 3 months preceding the claim, or (b) USD 50.

🤝 12. Indemnification

You agree to indemnify and hold harmless OmniQra, its officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the service, violation of these Terms, or infringement of any third-party rights.

⚖️ 13. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which OmniQra Technologies is incorporated, without regard to conflict-of-law principles. Any dispute shall first be attempted to be resolved through good-faith negotiation. Unresolved disputes shall be submitted to the exclusive jurisdiction of the competent courts in that jurisdiction.

📝 14. Changes to These Terms

We may modify these Terms at any time. Material changes will be notified via email and a banner on the platform at least 14 days in advance. Continued use of OmniQra after the effective date constitutes acceptance of the revised Terms.
